Terms of Service

These terms govern your use of Salato, an online platform that event organisers use to sell tickets and that attendees use to buy them. By creating an account, publishing an event, or purchasing a ticket, you agree to these terms. If you're agreeing on behalf of an organisation, you confirm you're authorised to do so. Please read them alongside our Acceptable Use Policy, Refund & Cancellation Policy, and Ticket Delivery Policy, which form part of this agreement.

Who we are and what Salato does

Salato provides the software that lets organisers create events, sell tickets, and admit attendees. Salato is not the organiser of any event and is not a party to the contract between an organiser and a buyer. The event — its content, timing, venue, and delivery — is the responsibility of the organiser who lists it. Salato is not a bank, is not a payment institution, and does not hold or control user funds.

Accounts

To sell tickets you need an organiser account, created through our signup, which also sets up your organisation record. You're responsible for the accuracy of the information you provide, for keeping your login details secure, and for everything done under your account, including by your staff and scanners. Tell us promptly at [email protected] if you believe your account has been compromised. You must be able to form a legally binding contract to use Salato.

Organiser verification

Before an organiser can publish a paid event or receive settlement, Salato verifies the organiser's identity and, where applicable, business registration and tax details, together with a settlement account held in the verified name. Each verified organiser is connected to their own account with our payment partner. Salato may decline, suspend, or reverse verification, and may request further information at any time.

Payments, commission, and settlement

Ticket payments are processed by our third-party payment partner. At the point of each transaction, the payment is split: the organiser's share settles directly to the organiser's own connected account, and Salato receives only its platform commission — 6% by default, and as otherwise agreed with the organiser. Salato does not take receipt of the organiser's funds, does not hold funds before disbursement, and does not operate wallets, stored balances, or transfers of value between users. Settlement timing to organisers follows the payment partner's standard cycle. Your use of the payment partner is also subject to that partner's own terms.

Tickets and entry

On payment, Salato issues a digital ticket — a PDF with the attendee's name, a unique ticket number, and a single-use QR code — delivered by email and WhatsApp as set out in the Ticket Delivery Policy. Tickets are for the named event only. Tickets must not be forged, duplicated, resold for profit where the organiser prohibits it, or otherwise misused. A QR code that has already been scanned is treated as used. The organiser controls admission at the event.

Organiser obligations

As an organiser, you agree to:

  • List only genuine events you're authorised to run, and describe them accurately.
  • Set clear, fair refund terms and honour them, and refund in full when you cancel an event.
  • Deliver the event as advertised, and comply with all licences, permits, and laws that apply to it.
  • Handle attendee data lawfully and only for running your event, in line with the Acceptable Use Policy and applicable data protection law.
  • Keep enough funds available to cover refunds you may owe.

Buyer obligations

As a buyer, you agree to provide accurate contact details, to buy tickets for genuine use, not to make fraudulent payments or misuse tickets, and to deal with refund requests through the process in the Refund & Cancellation Policy. Your contract for the event itself is with the organiser.

Refunds and disputes

Refunds, cancellations, and postponements are governed by our Refund & Cancellation Policy. Salato may mediate disputes between buyers and organisers, and where an event has clearly not been delivered as advertised, Salato may suspend the organiser and support affected buyers with refunds through the payment partner. Chargebacks follow the payment partner's dispute process.

Acceptable use

Your use of Salato must follow our Acceptable Use Policy. Among other things, Salato may not be used to sell physical goods, to sell tickets to unlawful or harmful events, to move money for any purpose other than paying for tickets, or to compromise the platform's security. Breaches may lead to removal of content, suspension, held or reversed payouts, or account closure.

Intellectual property

Salato, its name, logo, and software are owned by us and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the platform for its intended purpose. Content you upload — event details, images, and copy — remains yours, but you grant Salato the licence needed to host and display it so we can provide the service. You're responsible for having the rights to any content you upload.

Service availability

We work to keep Salato available and reliable, but we don't guarantee it will be uninterrupted or error-free. We may modify, suspend, or discontinue features, and may carry out maintenance that affects availability. We'll aim to give notice of significant planned changes where we can.

Liability

Because Salato is not the organiser, we're not liable for the events themselves — whether they take place, their quality, or anything that happens at them; those are the organiser's responsibility. To the fullest extent permitted by law, Salato is not liable for indirect or consequential loss, and our total liability to you for any claim relating to the platform is limited to the fees Salato earned on the transaction giving rise to the claim. Nothing in these terms excludes liability that cannot be excluded by law.

Suspension and termination

You may stop using Salato at any time. We may suspend or close an account that breaches these terms or our policies, that poses a risk to attendees, buyers, or the platform, or where required by law. Where a breach is serious — including fraud or anything that endangers people — we may act immediately and without notice, and may report the matter to the relevant authorities.

Changes to these terms

We may update these terms from time to time. The current version always lives at this page, with the date it was last updated shown at the top. If we make a significant change, we'll aim to let account holders know. Continuing to use Salato after a change means you accept the updated terms.

Governing law

These terms are governed by the laws of Kenya, and the courts of Kenya have jurisdiction over any dispute relating to them, without affecting any consumer rights you may have under the law of your own country.
